Terms of Service

By accessing or using Tech Avenue Labs' website (techavenuelabs.com) and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms apply to all visitors, users, and clients of Tech Avenue Labs. We reserve the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the revised Terms.

Tech Avenue Labs provides a range of digital services including but not limited to: • Web Design & Development • Mobile App Development (iOS & Android) • Search Engine Optimization (SEO) & Digital Marketing • Press Release Distribution • Branding & Graphic Design • E-Commerce Solutions • Web Hosting & Maintenance • SaaS Development The specifics of each service, including deliverables, timelines, and pricing, will be outlined in a separate Service Agreement or Statement of Work (SOW) signed between the parties.

As a user or client, you agree to: • Provide accurate, complete, and up-to-date information when engaging our services • Cooperate with our team by providing necessary materials, feedback, and approvals in a timely manner • Not use our services for any unlawful, harmful, or fraudulent purpose • Not attempt to gain unauthorized access to our systems or other users' accounts • Respect intellectual property rights of Tech Avenue Labs and third parties • Maintain the confidentiality of any login credentials provided Failure to fulfill these responsibilities may result in suspension or termination of services.

Payment terms for our services: • Pricing: All prices are in Indian Rupees (INR) unless otherwise specified • Deposits: A 50% advance payment is required before project commencement • Milestones: Remaining payments are tied to project milestones as agreed in the SOW • Due dates: Invoices are due within 7 days of issuance • Late payments: A late fee of 1.5% per month applies to overdue invoices • Disputes: Payment disputes must be raised within 10 business days of invoice receipt • Taxes: Applicable GST and other taxes will be added to all invoices Non-payment may result in suspension of services and legal action to recover outstanding amounts.

Ownership and rights: • Client IP: Upon full payment, clients receive ownership of final deliverables created specifically for them • Tech Avenue Labs IP: We retain ownership of proprietary frameworks, tools, templates, and methodologies used in delivery • Third-party assets: Licensed assets (stock photos, fonts, plugins) remain subject to their respective license terms • Portfolio rights: We reserve the right to showcase completed work in our portfolio unless the client requests confidentiality in writing You may not reproduce, distribute, or create derivative works from our website content without written permission.

Both parties agree to: • Keep confidential information shared during the engagement strictly private • Not disclose confidential information to any third party without prior written consent • Use confidential information only for the purposes of the project • Return or destroy confidential information upon request or termination of services This confidentiality obligation survives termination of the service agreement for a period of 2 years.

To the maximum extent permitted by applicable law: • Tech Avenue Labs' total liability for any claim arising from our services is limited to the total fees paid by the client in the 3 months preceding the claim • We are not liable for indirect, incidental, special, consequential, or punitive damages • We are not responsible for losses due to third-party actions, force majeure events, or client-provided content • We do not guarantee specific search engine rankings, traffic levels, or business outcomes from marketing services These limitations apply regardless of the legal theory on which a claim is based.

Our services are provided "as is" and "as available." We expressly disclaim all warranties, express or implied, including: • Warranties of merchantability, fitness for a particular purpose • Warranties that services will be uninterrupted, error-free, or completely secure • Warranties regarding the accuracy or reliability of any information provided Some jurisdictions do not allow exclusion of implied warranties, so some of the above may not apply to you.

Either party may terminate services: • With 30 days written notice for ongoing retainer engagements • Immediately if the other party breaches a material term of this agreement • Immediately by Tech Avenue Labs for non-payment or misuse of services Upon termination: • All outstanding payments become immediately due • Tech Avenue Labs will deliver all completed work to the client upon receipt of outstanding payments • Each party will return or destroy confidential information of the other party • Provisions that by their nature should survive termination will remain in effect

These Terms are governed by the laws of India, specifically the Information Technology Act, 2000 and applicable Indian laws. In the event of a dispute: • Parties will first attempt to resolve disputes amicably through good-faith negotiation • If negotiation fails within 30 days, disputes will be submitted to binding arbitration in Hyderabad, Telangana, India • The arbitration will be conducted in English under Indian Arbitration rules • Judgment on the arbitration award may be entered in any court with jurisdiction Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction.
